Customer Data means data, documents, lists or other material that the Customer or an Authorised User uploads to, or enters into, the Service. Order Form means the ordering document signed by both parties that identifies the Seats, fees and term. Output means any report, brief, analysis, list, answer or other material generated by the Service in response to a request from an Authorised User. Platform Data means the data made available through the Service that is derived, curated, resolved or enriched by RxClarity from public and licensed sources, including clinical trial registries, regulatory filings, approval records, scientific literature and company records. The Service 2.1 RxClarity grants the Customer a non-exclusive, non-transferable, non-sublicensable right for its Authorised Users to access and use the Service during the Subscription Term for the Customer’s own internal business purposes, subject to the Agreement and to payment of the fees. 2.2 The number of Seats is stated on the Order Form. A Seat is personal to one named individual. Seats may be reassigned to a replacement individual where the original Authorised User leaves the Customer’s organisation or changes role, but may not be shared, rotated between individuals or used concurrently by more than one person. 2.3 RxClarity will use commercially reasonable efforts to make the Service available in accordance with the Service Level Agreement. The Service Level Agreement sets out the availability target, support commitments and the Customer’s sole remedies for failure to meet them. 2.4 RxClarity may improve, modify or replace features of the Service from time to time. RxClarity will not materially reduce the overall functionality of the Service during a paid Subscription Term. Where RxClarity intends to discontinue a material feature the Customer relies on, RxClarity will give at least 60 days’ written notice, and if the discontinuation materially and adversely affects the Customer’s use, the Customer may terminate the affected subscription on written notice and receive a pro rata refund of prepaid fees for the unused remainder of the Subscription Term.
Accounts and security 3.1 Access is by individual login credentials. Credentials must not be shared. The Customer will ensure each Authorised User keeps their credentials confidential. 3.2 The Customer is responsible for the acts and omissions of its Authorised Users as if they were the Customer’s own, and for all activity conducted through its accounts, except to the extent caused by RxClarity’s breach of the Agreement. 3.3 Each party will notify the other without undue delay on becoming aware of any unauthorised access to the Service or compromise of credentials.
